LimoX Driver Service Agreement
This LimoX Driver Service Agreement is a contractual agreement between XWIDE Business Solutions LLC (XBS) and the Driver (Contractor), who will operate as an independent service provider offering limousine and chauffeur services under the LimoX service model. This agreement defines the rights, responsibilities, and expectations of both parties, ensuring compliance with legal and operational standards. The agreement will become effective on the date the Driver electronically signs and submits the form.
1. PURPOSE & NATURE OF AGREEMENT
This agreement establishes the terms under which the Driver will operate as an independent contractor providing limousine services under the LimoX platform, a business model operated by XBS.
The Driver is not an employee of XBS and acknowledges that they are responsible for all taxes, expenses, and liabilities associated with their operations.
The Driver agrees to abide by all applicable laws, platform policies, and professional standards while providing services through the LimoX platform.
2. DRIVER REQUIREMENTS & RESPONSIBILITIES
2.1. Licensing & Legal Compliance
The Driver must maintain at all times:
A valid New Jersey Chauffeur’s License or Commercial Driver’s License (CDL) with passenger endorsement, if required.
A fully licensed, insured, and commercially registered limousine vehicle.
Compliance with all federal, state, and local transportation regulations, including those set forth by the New Jersey Motor Vehicle Commission (NJMVC) and the U.S. Department of Transportation (DOT).
2.2. Insurance & Liability
The Driver must carry and maintain the minimum required commercial auto insurance as per New Jersey law, including:
Bodily injury liability coverage
Property damage liability coverage
Uninsured/underinsured motorist coverage
The Driver understands that XBS does not provide insurance coverage for the Driver, their vehicle, or passengers and that they are solely responsible for any claims, losses, or damages.
In the event of an accident or passenger injury, the Driver must immediately report the incident to both LimoX support and their insurance provider.
2.3. Professional Conduct & Passenger Relations
The Driver agrees to:
Maintain a professional appearance (business attire required) and adhere to high customer service standards.
Treat all passengers with respect, refrain from discriminatory practices, and comply with LimoX’s zero-tolerance policy on harassment and misconduct.
Not engage in conversations of a personal, political, or religious nature that may cause discomfort to passengers.
Never drive under the influence of alcohol, drugs, or any impairing substances.
Adhere to all safety regulations, including the prohibition of smoking and vaping inside the vehicle.
3. VEHICLE REQUIREMENTS & MAINTENANCE
Vehicles must be clean, well-maintained, and free of any major damage at all times.
Vehicles must be equipped with:
Working air conditioning & heating systems
GPS navigation & phone charging outlets
Luxury amenities (if applicable to service level offered)
The Driver is responsible for all costs related to vehicle repairs, maintenance, and fuel.
4. LIABILITY & DAMAGE POLICY
4.1. Damage to Vehicle by Passengers
The Driver assumes all risk associated with allowing passengers into their vehicle.
If a passenger damages the vehicle (spills, stains, broken items), the Driver must:
Report the incident to LimoX with photo documentation within 24 hours.
Attempt to collect a damage fee from the passenger through LimoX support.
XBS is not responsible for recovering damages from passengers and does not provide reimbursement for any repairs.
4.2. Passenger Disputes & Legal Issues
In case of a dispute, harassment claim, or legal issue with a passenger, the Driver must:
Immediately report the incident to LimoX support.
Provide any necessary documentation (dashcam footage, witness statements, police reports).
The Driver acknowledges that XBS is not liable for legal claims or lawsuits arising from driver-passenger interactions.
5. PAYMENT TERMS & SERVICE FEES
5.1. Driver Compensation
The Driver will receive a percentage of the fare collected for each completed trip, as determined by XBS’s driver payout structure.
All payments will be processed via Stripe or PayPal on a weekly basis.
5.2. Deductions & Fees
LimoX charges a platform service fee on each ride, deducted before payouts.
The Driver is responsible for fuel, tolls, parking fees, and vehicle maintenance costs.
Cancellations & No-Shows:
If a Driver cancels a trip without sufficient notice, penalties may be applied.
Repeat cancellations may result in suspension from the platform.
6. CONFIDENTIALITY & NON-COMPETE AGREEMENT
The Driver agrees to keep all LimoX business operations, pricing, customer information, and internal processes confidential.
The Driver may not solicit or take private bookings from LimoX customers outside of the platform.
Violation of this confidentiality and non-compete clause will result in immediate termination and possible legal action.
7. TERMINATION & SUSPENSION POLICY
7.1. Termination by XBS
XBS reserves the right to immediately terminate or suspend a driver if:
The Driver fails to meet licensing, insurance, or safety standards.
The Driver receives multiple passenger complaints regarding professionalism or service.
The Driver fails a background check, drug test, or DMV record screening.
7.2. Termination by the Driver
The Driver may terminate this agreement at any time with a 14-day written notice to XBS.
Any outstanding payments will be processed in the next scheduled payout.
8. LEGAL DISCLAIMER & INDEMNIFICATION
The Driver agrees to indemnify and hold XBS harmless from any claims, lawsuits, or damages arising from:
Passenger injuries
Vehicle accidents
Traffic violations
Business losses
XBS is not responsible for the Driver’s insurance claims, vehicle damages, or third-party disputes.
9. AGREEMENT ACCEPTANCE
By signing this agreement electronically, the Driver acknowledges that they have read, understood, and agreed to all terms and conditions outlined above. The Driver also confirms that they meet all requirements stated in this agreement and will comply with LimoX’s policies while operating under XBS.
This electronic signature is legally binding and serves as the Driver’s official acceptance of the agreement.10. FORCE MAJEURE
LimoX shall not be held responsible for any failure to provide services due to unforeseen and uncontrollable events, including but not limited to natural disasters, extreme weather conditions, acts of terrorism, pandemics, strikes, or government restrictions.
